1. Acceptance of Terms

Welcome to Ztudy ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and any related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately stop using the Services and close your account.

2. Eligibility

Age Requirement: You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Services without parental consent. If you are under the age of majority but at least 13 years old, you may use the Services only with the involvement and consent of a parent or legal guardian.
No Children Under 13: We do not knowingly collect personal information from children under 13. If we discover that a user is under 13, we will terminate the account and delete any associated data.
Accurate Information: By using the Services, you represent and warrant that all information you provide during registration or otherwise is truthful, accurate, and complete.

3. User Accounts

Registration: To use certain features, you must create an account and provide the requested information (e.g., name, email, and a secure password).
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected security breach.
One Account Per User: Each user may only maintain one account. We reserve the right to suspend or terminate duplicate accounts without prior notice.

Ztudy is an AI-powered educational platform that helps users study more effectively by:

Generating flashcards, quizzes, and notes from uploaded study materials
Providing AI-generated practice tests and exercises
Offering personalized AI tutoring and interview sessions
Creating audio summaries and podcasts of study content
Tracking learning progress and mastery levels

The Services may evolve over time. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

5. User Content and Conduct

A. User Content

You may upload, submit, or create content through the Services (e.g., study materials, notes, text inputs). You retain ownership of any intellectual property rights in the content you provide ("User Content").

By submitting User Content, you grant Ztudy a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for the purpose of providing and improving the Services. This license terminates when you delete your content or account.

B. Acceptable Use

You agree not to:

Upload any content that is illegal, harmful, threatening, defamatory, obscene, or otherwise objectionable
Use the Services to infringe on the intellectual property rights of others
Submit content containing malware, viruses, or malicious code
Attempt to gain unauthorized access to any part of the Services or other users' accounts
Use the Services for commercial purposes without our written consent
Use automated tools (bots, scrapers, etc.) to interact with the Services except as expressly permitted
Circumvent or attempt to circumvent any usage limits, rate limits, or access restrictions
Impersonate any person or entity, or falsely represent your affiliation with a person or entity

6. AI-Generated Content Disclaimer

Ztudy uses artificial intelligence to generate educational content, including flashcards, quizzes, notes, practice problems, tutoring responses, and audio. While we strive to provide accurate and helpful content:

No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or omissions. It should not be relied upon as a sole source of truth for academic, professional, or other important decisions.
Supplementary Resource: The Services are intended to supplement, not replace, traditional study methods, textbooks, instructors, or professional advice.
User Responsibility: You are responsible for verifying the accuracy of AI-generated content before relying on it for examinations, assignments, or other purposes.

7. Payments and Subscriptions

Free and Paid Plans: Ztudy may offer both free and paid subscription plans. Features, usage limits, and pricing may vary between plans and may change over time.
Billing: If you subscribe to a paid plan, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the end of the current billing period.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.
Refunds: Unless otherwise required by applicable law, subscription fees are non-refundable once the billing period has begun.
Price Changes: We reserve the right to change subscription pricing. We will provide reasonable advance notice of any price increases.

8. Intellectual Property Rights

Our Property: The Services, including all software, design, text, graphics, logos, and other materials (excluding User Content), are owned by or licensed to Ztudy and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on any part of the Services without our express written permission.
Feedback: If you provide feedback, suggestions, or ideas regarding the Services, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such feedback without any obligation or compensation to you.

9. Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to our data practices as described therein. We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws.

10. Third-Party Links and Services

The Services may include links to third-party websites, tools, or integrations. We do not control these third parties and are not responsible for their content, policies, or practices. Your interaction with third-party services is at your own risk, and we encourage you to review their terms and privacy policies.

11. Termination

By You: You may terminate your account at any time by deleting it from your account settings. Upon termination, your data will be permanently deleted in accordance with our Privacy Policy.
By Us: We reserve the right to suspend or terminate your account at any time, with or without cause or prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if continued use of the Services poses a risk to us or other users.
Effect of Termination: Upon termination, your right to use the Services ceases immediately. We may delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (e.g., limitation of liability, intellectual property, dispute resolution) will remain in effect.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that any defects will be corrected. We make no representations regarding the accuracy, reliability, or completeness of any AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZTUDY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR €100, WHICHEVER IS GREATER.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ztudy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your User Content, your violation of these Terms, or your infringement of any third-party rights.

15. Dispute Resolution

Informal Resolution: Before initiating any formal legal proceeding, you agree to first contact us at mikkel@ytting.dev and attempt to resolve the dispute informally for at least 30 days.
EU Dispute Resolution: If you are a consumer in the European Union, you may be entitled to submit disputes to the Online Dispute Resolution (ODR) platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable member state, without regard to conflict of law principles. Any disputes that cannot be resolved informally shall be submitted to the competent courts. If you are a consumer, you retain any mandatory consumer protection rights afforded by the laws of your country of residence.

17. Changes to These Terms

Modifications: We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page.
Notification: For material changes, we will make reasonable efforts to notify you in advance (e.g., via email or a notice within the Services).
Continued Use: Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.

18. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ztudy regarding your use of the Services, superseding any prior agreements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign your rights or obligations without our prior written consent.
